Constitution
ARTICLE I.
NAME The name of this organization shall
be: Kansas City Association of Law Libraries.
ARTICLE II.
OBJECTIVE The Association is established
for educational and scientific purposes. It shall be conducted as a
non-profit association to promote librarianship, to develop and increase
the usefulness of law libraries, to cultivate the science of law
librarianship and to foster a spirit of cooperation among the members of
the profession.
ARTICLE III.
MEMBERSHIP Any person interested in or
engaged in law library work is eligible for membership by complying with
the relevant Bylaw provisions.
ARTICLE IV.
MEETINGS Meetings shall be held as provided
in the Bylaws.
ARTICLE V. OFFICERS &
COMMITTEES Section 1. Officers. The
officers shall consist of a president, a vice president, a secretary and a
treasurer. The vice president, the secretary, and the treasurer shall be
elected annually be the Association. The vice president shall
automatically become president after one year and shall so serve during
the second year following his/her election.
Section 2. Duties of
Officers. The president, vice president, secretary and treasurer shall
perform the duties usually pertaining to their respective offices as
defined in the latest issue of Robert's Rules of Order and such other
duties as may be assigned by the Executive
Board.
Section 3. Committees and Other
Organizations. There shall be such committees as the Board of Directors
shall create or as shall be created by a majority vote of those present
and voting at any meeting of the Association.
Section 4.
Appointments. The president shall appoint all committee chairpersons
unless otherwise provided in the Bylaws or if the Association shall
otherwise direct. Committee members shall be appointed by the committee
chairperson.
Section 5. Terms of
Office. All officers and members of Committees shall serve for a period of
one year or until their successors are elected or appointed and qualified.
No members shall hold more than one office at a time, and no member shall
be eligible to serve more than two consecutive terms in the same office.
Vacancies are in the province of the Executive Board as outlined in
Article VI, Section 2.
ARTICLE VI. EXECUTIVE
BOARD Section 1. There shall be a Board of
Directors of seven consisting of the officers named in Article V, Section
1, the last retiring president, and two members whose terms shall be two
years, one of whom shall be elected annually by the Association. The
duties of the Board of Directors shall be those usually assigned to such
boards in similar associations.
Section 2. The
Executive Board shall have the power to fill any vacancy on the Executive
Board or in elective offices except that of president. In the event of the
vacancy of the office of president, the vice president/president elect
shall become president. The new president shall serve the unexpired
portion of the current term of office.
ARTICLE VII.
AMENDMENTS Section 1. This constitution may
be amended in the following manner: Notice on any amendment may be
proposed by written petition signed by at least three (3) active members
of this Association. Said petition must be filed with the secretary at
least sixty (60) days prior to the annual meeting. Notice thereof shall be
sent by the secretary to members of the Association at least thirty (30)
days prior to the annual meeting. The proposed amendments shall become
effective when approved by two-thirds of the voting members at said annual
meeting.
ARTICLE VIII.
BYLAWS Section 1. Any Bylaw may be adopted,
repealed, amended or suspended by a majority vote of those present and
voting at any meeting of the Association, provided that notice of the
proposed change has been presented to the membership with or before the
meeting notice.
